1. Acceptance of Terms

By creating an account, accessing, or using MarketingTool.pro, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use our Service.

2. Description of Services

MarketingTool.pro is a SaaS platform providing AI-powered marketing tools, including:

• Google Ads Tools: Campaign optimization, keyword research, bid management, ad copy generation, performance auditing, quality score analysis, and automated reporting for Google Ads accounts.
• Meta (Facebook/Instagram) Ads Tools: Campaign management, audience optimization, creative generation, ad performance analysis, budget allocation, and cross-platform reporting for Meta advertising accounts.
• SEO Tools: Keyword research, content optimization, SERP analysis, schema generation, meta tag optimization, and backlink analysis.
• Content Writing Tools: Blog posts, social media content, email marketing, product descriptions, ad copy, and other marketing content generation using AI.
• E-commerce Tools: Product feed optimization, shopping campaign management, dynamic ad generation, and Shopify integration tools.
• Analytics & Reporting: Performance dashboards, KPI tracking, cross-platform analytics, and automated reporting.

Our tools use AI models to assist with marketing tasks. All AI-generated content should be reviewed by users before publication or implementation.

3. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old to use our services.
• One person or entity may not maintain more than one account without prior authorization.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at help@marketingtool.pro if you become aware of any unauthorized use of your account.

4. Subscription Plans and Billing

Free Trial: New users receive a 7-day free trial with access to 3 tools and 10 generations. No credit card required for trial.

Extra Tokens: $3 per token = 100 additional generations. Non-refundable.

All payments are processed securely through Stripe. Subscriptions auto-renew unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings.

5. Google Ads API Usage

When you connect your Google Ads account to MarketingTool.pro:

• You authorize us to access your Google Ads data through the Google Ads API to provide our optimization and management tools.
• Our use of Google Ads data complies with the Google API Services User Data Policy, including the Limited Use requirements.
• We only access the data necessary to provide the specific tools and features you use.
• You can revoke our access at any time by disconnecting your Google account from your MarketingTool.pro settings or by removing our app from your Google Account permissions.
• You are responsible for ensuring that your use of our tools complies with Google Ads policies.
• We do not make changes to your Google Ads account without your explicit action and confirmation.

6. Meta (Facebook/Instagram) API Usage

When you connect your Meta Business account to MarketingTool.pro:

• You authorize us to access your Meta advertising data through the Meta Marketing API to provide our ad management and optimization tools.
• Our use of Meta data complies with the Meta Platform Terms and Developer Policies.
• We only access the data and permissions necessary for the features you use.
• You can revoke our access at any time by disconnecting your Meta account from your settings or by removing our app from your Facebook Business Integrations.
• You are responsible for ensuring your use of our tools complies with Meta Advertising Standards.
• We do not modify your Meta ad accounts without your explicit action and confirmation.

7. AI-Generated Content

• Content generated using our AI tools is owned by you.
• You are solely responsible for reviewing, verifying, and editing all AI-generated content before use in any marketing campaign, advertisement, or publication.
• AI-generated content may contain inaccuracies, and you should fact-check all important claims and data.
• We are not liable for any consequences, damages, or policy violations resulting from the use of AI-generated content.
• You must ensure that AI-generated ads comply with the advertising policies of the respective platforms (Google, Meta, etc.) before publishing.

8. Acceptable Use

You agree not to:

• Use our services for illegal purposes or to generate harmful, deceptive, or misleading content.
• Attempt to reverse-engineer, hack, or disrupt our platform or infrastructure.
• Share your account credentials with unauthorized individuals.
• Use automated scripts, bots, or scrapers to access our services beyond normal usage.
• Generate content that violates intellectual property rights, defames others, or promotes hate speech.
• Use our platform to violate Google Ads, Meta, or any other advertising platform's policies.
• Resell, sublicense, or redistribute our services without an Agency plan agreement.
• Attempt to circumvent usage limits, billing, or subscription restrictions.

9. Intellectual Property

The MarketingTool.pro platform, including its design, source code, AI models integration, branding, logos, and documentation, is the exclusive property of AI MarketingTool LLC. You may not copy, reproduce, modify, or distribute any part of our platform without written permission. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

10. Service Availability and Limitations

• We strive for 99.9% uptime but do not guarantee uninterrupted availability.
• We may perform scheduled maintenance with advance notice via email or in-app notification.
• AI-generated content quality depends on input quality and may vary.
• Third-party API availability (Google, Meta) is outside our control.
• Generation limits are per billing cycle and do not roll over to the next period.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: AI MarketingTool LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to lost profits, lost data, advertising spend losses, or business interruption. Our total aggregate liability shall not exceed the total amount you paid for the Service in the 12 months preceding the claim. This limitation applies regardless of the legal theory (contract, tort, warranty, or otherwise).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that AI-generated recommendations will improve your advertising performance, nor do we guarantee specific results from using our tools.

13. Refund Policy

• Monthly subscriptions: No refunds for partial months. You retain access until the end of your billing period after cancellation.
• Annual subscriptions: Pro-rated refund within the first 30 days if unsatisfied. Contact help@marketingtool.pro to request.
• Extra token purchases: Non-refundable once purchased.
• Free trial: No charge; no refund applicable.

14. Account Termination

• You may delete your account at any time through the Delete Account page or by contacting us.
• We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse our platform.
• Upon termination, your access ceases immediately and your data is deleted within 30 days, except as required by law.
• All connected third-party accounts (Google, Meta) are automatically disconnected upon account deletion.

15. Indemnification

You agree to indemnify and hold harmless AI MarketingTool LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights or advertising platform policies.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email and/or in-app notification at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
